Terms & Conditions – Platural® Professional Program

§1. General Provisions

  1. The Platural® Professional Program (“Program”) is organized and managed by Platural Life Sciences Sp. z o.o.
    Address: ul. Jesionowa 11, 55-114 Malin, Poland.
    VAT ID: PL9151831790.
  2. The Program is intended for veterinarians, clinics, and professional partners who wish to:
    • purchase Platural products for resale, or
    • recommend Platural products to their clients and receive a commission on qualifying purchases made with their referral code.
  3. Participation in the Program is voluntary, free of charge, and non-exclusive.
  4. The Program is intended exclusively for business entities — not for consumers as defined by the EU Consumer Rights Directive.
  5. These Terms & Conditions define the rules for registration, verification, commission calculation, and monthly settlements.

§2. Registration and Account Verification

  1. To join the Program, applicants must fill out the registration form available at https://platural-shop.com, providing:
    • full name,
    • company or clinic name,
    • email address and phone number,
    • business address and country,
    • valid EU VAT number.
  2. Participation in the Program is available only to VAT-registered businesses with a valid EU VAT ID.
  3. Platural reserves the right to verify VAT numbers through the EU VIES system.
  4. After successful verification, the Partner’s account status changes to “approved.”
  5. An approved Partner receives:
    • access to net (B2B) prices and volume-based discounts,
    • an individual discount/referral code and a corresponding QR link for tracking referrals.

§3. Wholesale Purchases (Resale Model)

  1. Approved Partners may purchase Platural products at net prices, with quantity discounts visible after login.
  2. Products may be resold to end customers — e.g., in veterinary clinics or practices.
  3. Quantity discounts are applied automatically.
  4. Repackaging, relabeling, or resale under another brand is prohibited without prior written consent.
  5. Partners interested in private-label cooperation may contact Platural to agree on individual terms.
  6. Platural reserves the right to modify discounts or commercial terms at any time.

§4. Referral Program (Commission Model)

  1. Each Partner receives a unique referral code and a corresponding QR code.
  2. Customers purchasing on platural-shop.com with this code receive a discount, and the order is automatically assigned to the Partner.
  3. The standard commission rate is 20%.
  4. Commissions are calculated only for products covered by the Program and purchased using the Partner’s code.
  5. The Partner’s commission equals 20% of the adjusted net sales value of orders placed with their referral code.
    The commission base includes only products covered by the Program and is calculated from the net product value (excluding VAT and Platural’s internal shipping costs).
    In other words, commissions are based on the actual net value of eligible products — after deducting VAT and Platural’s own delivery expenses.
  6. Only orders meeting all of the following conditions qualify for commission:
    • paid and fulfilled,
    • not cancelled or returned.
  7. Due to statutory return periods, commissions become final 14 days after product delivery.
  8. Commissions are settled monthly, and reports are provided by email or via the Partner dashboard.
  9. Before the first commission payout, the Partner must provide their bank account details (IBAN, BIC, account holder name).
    This information will be used exclusively for payouts, tax compliance, and accounting purposes.
  10. Platural may adjust future reports to reflect returns, accounting errors, or other justified corrections.
  11. Platural reserves the right to modify the commission rate or calculation method in the future, for example due to changes in product pricing, logistics costs, or market conditions.
    Any changes to the commission structure will be communicated to Partners at least 30 days in advance, and will apply only to orders placed after the effective date of the change.
  12. Participation in the commission-based Program requires acceptance of these Terms and the Self-Billing Agreement, which is a separate document.

§5. Settlements and Payments

  1. The settlement period covers a full calendar month.
  2. Reports are generated by the 15th day of the following month.
  3. Payouts are made by SEPA bank transfer within 14 days of report approval, provided that:
    • the Partner’s account and VAT ID are verified,
    • the total confirmed commission exceeds €50 net,
    • the Partner has accepted the Self-Billing Agreement.
  4. All commissions are calculated and paid in EUR.
  5. Transfers are made to the verified bank account provided by the Partner before the first payout.
  6. Partners are solely responsible for reporting and paying any taxes due in their country of residence.

§6. Ethical Rules and Restrictions

  1. Partners commit to promoting Platural products accurately, transparently, and ethically.
  2. The following activities are prohibited:
    • publishing referral codes on coupon-sharing or discount websites,
    • running paid ads (e.g., Meta, Google) without written consent,
    • making misleading or false claims about product features or effects.
  3. In case of abuse or policy violations, Platural may:
    • withhold commission payments,
    • suspend or terminate cooperation.
  4. Participation in the Program does not create an employment, agency, or franchise relationship between the Parties.

§7. Data Protection and Confidentiality

  1. Personal, business, and bank data of Partners are processed in accordance with the Privacy Policy and the EU GDPR.
  2. Bank account data (IBAN, BIC, account holder name) are used solely for payouts, compliance, and bookkeeping.
  3. The level of commissions, discounts, and business terms constitutes confidential information.
  4. Partners must maintain the confidentiality of all non-public information and their login credentials.

§8. Termination of Participation

  1. A Partner may withdraw from the Program at any time by sending a written notice via email.
  2. Platural may terminate cooperation in case of:
    • violation of these Terms or the Self-Billing Agreement,
    • providing false or misleading information,
    • inactivity for more than 6 months.
  3. Unpaid commissions below €50 net expire upon termination.
  4. Data relating to invoices, reports, and payments will be retained for accounting and legal compliance purposes.

§9. Final Provisions

  1. These Terms & Conditions are governed by Polish law and applicable EU regulations (including Council Directive 2006/112/EC on VAT).
  2. Any disputes shall be settled amicably or by the competent court in Wrocław, Poland.
  3. Platural reserves the right to amend these Terms with prior notice to Partners.
  4. Continued participation after publication of updated Terms constitutes acceptance of the changes.
  5. In the event of discrepancies between language versions, the English version shall prevail.
