Terms & Conditions – Platural® Professional Program

§1. General Provisions

  1. The Platural® Professional Program (“Program”) is organized and managed by Platural Life Sciences Sp. z o.o.
  2. The Program is addressed to veterinarians, clinics, and professional partners who wish to:
    • purchase Platural products for resale, or
    • recommend Platural products to their clients and receive a commission on purchases made with their code.
  3. Participation in the Program is voluntary, free of charge, and non-exclusive.
  4. The Program is intended solely for professional and business use — not for consumers within the meaning of the EU Consumer Rights Directive.
  5. These Terms & Conditions define the rules for registration, participation, wholesale purchases, commission calculation, and monthly settlements.

§2. Registration and Account Verification

  1. To join the Program, applicants must fill out the registration form available at https://platural-shop.com, providing:
    • full name,
    • company or clinic name,
    • email address and phone number,
    • business address and country,
    • VAT number.
  2. Participation in the Program requires a valid VAT number and business status. The Program is not available to private individuals who do not conduct business activity.
  3. After submitting the registration form, the participant receives a confirmation email.
  4. The data is then verified by the Platural team.
  5. Once approved, the participant’s account status changes from “Platural Partner (pending)” to “Platural Partner.”
  6. A verified participant receives:
    • access to net (B2B) prices and volume-based discounts,
    • an individual discount code / QR link that allows tracking of referrals.

§3. Wholesale Purchases (Resale Model)

  1. Verified Partners may purchase Platural products at net prices, with applicable volume discounts visible after login.
  2. Products may be resold to end customers — e.g., in clinics, veterinary practices, or other points of sale.
  3. Volume discounts are applied automatically based on the ordered quantity.
  4. Repackaging, relabeling, or selling under another brand is prohibited without prior written consent from Platural. Partners interested in “private label” cooperation should contact Platural to arrange individual terms.
  5. Platural reserves the right to change discount structures or commercial terms at any time.

§4. Referral Program (Commission Model)

  1. Each Partner receives an individual discount code and a corresponding QR code.
  2. Customers who purchase through platural-shop.com and use this code receive a discount, and the order is automatically assigned to that Partner.
  3. The standard Partner commission is 20%. Commissions are calculated only on the net product value (excluding VAT and shipping costs) of orders placed using the Partner’s discount code.
  4. Only orders that meet the following criteria qualify for commission:
    • paid and fulfilled,
    • not returned or cancelled.
  5. Due to the legal return period, commissions are confirmed 14 days after delivery of the product.
  6. Commissions are settled monthly, via a PDF report sent by email or made available in the Partner’s dashboard.
  7. Commission payout conditions:
    • an active Partner account,
    • minimum threshold of €50 net,
    • an invoice or receipt issued by the Partner.
  8. Platural may adjust reports in case of returns, errors, or accounting corrections.

§5. Settlements and Payments

  1. The settlement period covers a full calendar month (1st–31st).
  2. Reports are generated by the 15th day of the following month.
  3. Commission payments are made via bank transfer within 30 days of report approval.
  4. Partners are responsible for fulfilling their own tax obligations resulting from commissions received.

§6. Ethical Rules and Restrictions

  1. Partners commit to promoting Platural products accurately and ethically.
  2. The following actions are prohibited:
    • publishing discount codes on coupon-sharing websites,
    • running paid advertisements (e.g., Meta, Google Ads) without prior Platural approval,
    • misleading customers about product functions or effects.
  3. In case of abuse or unethical behavior, Platural reserves the right to:
    • withhold commission payments,
    • suspend or terminate cooperation.
  4. The Program is voluntary and does not constitute an employment, agency, or franchise agreement.

§7. Data Protection and Confidentiality

  1. Personal and contact data of participants are processed in accordance with the Privacy Policy.
  2. The level of discounts, commissions, and commercial data of Partners constitute confidential information.
  3. Partners must maintain confidentiality and protect their login credentials.

§8. Termination of Participation

  1. A Partner may withdraw from the Program at any time by sending a written notice via email.
  2. Platural may terminate cooperation in case of:
    • violation of these Terms & Conditions,
    • providing false information,
    • prolonged inactivity.
  3. Unpaid commissions below the threshold of €50 net expire upon termination of cooperation.

§9. Final Provisions

  1. These Terms & Conditions are governed by Polish law and applicable EU regulations.
  2. Platural reserves the right to amend these Terms with prior notice to Partners.
  3. Continued use of the account after publication of the new version constitutes acceptance of the changes.
  4. In the event of discrepancies between language versions, the Polish version shall prevail.
